RifSol Corporation is seeking to appoint an Independent Director & Chair of the Audit & Risk Committee as part of the continued development of its semiconductor manufacturing platform.

This role is central to reinforcing a governance architecture aligned with institutional capital standards and disciplined industrial execution.

We are specifically seeking a senior financial executive with:

• Prior experience as CFO of a semiconductor or capital-intensive manufacturing business
• Deep public-company reporting exposure (SEC 10Q / 10K)
• Strong background in financial reporting, controllership, and complex accounting environments
• Experience overseeing capex-heavy balance sheets and covenant-sensitive structures
• Audit committee interaction and external auditor oversight experience
• Proven discipline in capital allocation and liquidity risk management

This is a board-level oversight role, not an executive operating position.

The Audit & Risk Committee Chair will oversee:

• Financial reporting integrity
• Internal control framework implementation
• Covenant compliance monitoring
• Liquidity and enterprise risk oversight
• External audit coordination
